KIDS CLUB TERMS AND CONDITIONS (TERMS)

Kids Club

1. These Terms govern your access to, and participation in, the Farmer Brown Kids Club (Kids Club).

2. The Kids Club is located at the website www.farmerbrown.co.nz (Website) which is operated by Zeagold Foods, a division of Mainland Poultry Limited (Zeagold).

3. By joining the Kids Club or participating in any activities offered or run by the Kids Club, you agree to be bound by, and to comply with, these Terms.

Parental consent

4. In these Terms 'you' or 'your' means any person or entity participating in the Kids Club, and your parent or legal guardian, if you are under 18 years of age. If you are under 18 years of age, or the age of legal responsibility in your jurisdiction (whichever is older), your parent or legal guardian must agree to comply with these Terms on your behalf.

5. If you, or your parent or legal guardian as the case may be, do not agree to comply with these Terms you must immediately exit this Website and not participate in the Kids Club.

6. If you are a parent or legal guardian and you provide your consent to your child's participation in the Kids Club, you agree to be bound by these Terms in respect of that participation.

Accounts

7. In order to participate in the Kids Club, you may be required to register for, and create, a user account (Account).

8. During the registration process you may be asked to select a unique password. If we require you to protect your Account with a password, you are responsible for maintaining the confidentiality of that password and Account, and you are fully responsible for all activities that occur through the Account, whether or not you have authorised them.

9. By creating an Account, you represent and warrant that: (i) the personal information you provide is accurate, true and correct; (ii) that you will only use the Account for authorised purposes; and (iii) you will immediately notify us of any unauthorised use of the password or Account or any other breach of security.

10. If a user name is required for the Kids Club or any part of the Website, you also represent and warrant that: (i) you will not select or utilise a user name of another person with intent to impersonate that person; (ii) you will not select or utilise a user name in which another person has rights, if you do not have that person's authorisation to use such name; (iii) you will not select or utilise a user name that Zeagold in its sole discretion deems offensive; and (iv) you will not seek to circumvent any security measures put in place in relation to any Account.

11. Zeagold may suspend, restrict or terminate your access to any Account at any time in its sole discretion and without notice.

Content

12. The Website contains materials and other items relating to the Kids Club, to Zeagold, its businesses and products, and other material and information accessible or made available on or through the Website (including, without limitation, character data, images, graphics, trademarks, photographs, animations, software, video, audio, sounds, text and other formats now known or later developed), whether provided by Zeagold, users or other third parties (collectively, Content).

13. All Content, and all intellectual property rights in the Content, are Zeagold's property or the property of its licensors or licensees.

14. The Website and the Kids Club are only for your legal personal use. You may not participate in the Kids Club or use the Website or any Content for any commercial purposes or in any way that is unlawful, or harms Zeagold, its affiliates, or any other person or entity unless expressly authorised in writing by Zeagold.

15. Except as we specifically agree in writing, no Content may be used, reproduced, transmitted, distributed or otherwise exploited in any way other than as part of your permitted use of the Kids Club via the Website, except that where the Website permits and enables the download of particular Content, you may download one copy of such Content to a single computer for your personal, non-commercial home use only.

16. You agree to ensure that anything you submit to or through the Kids Club or the Website does not infringe the rights of any third party or create any obligation for Zeagold.

17. By submitting anything to the Kids Club or the Website, you hereby grant to Zeagold and all users of the Website an irrevocable, sub-licensable, transferable, worldwide, paid-up license, for use in conjunction with the Kids Club and the Website.

18. You may not participate in the Kids Club or use the Website, Content, or any service offered through or on the Website in any manner that:

    1. is unlawful;

    2. is obscene, offensive, defamatory, derogatory or unwanted;

    3. could damage, disable, overburden, or impair any Zeagold server or the network(s) connected to any Zeagold server;

    4. could interfere with any other party's use and enjoyment of Kids Club or the Website; or

    5. reduces the number of users accessing or using or able to access or use the Website.

Communication Services

19. The Website may contain e-mail services, bulletin board services, blogs, chat areas (text and voice), news groups, forums, communities, personal web pages, calendars, photo albums, file cabinets and/or other message or communication facilities designed to enable you to communicate with others (collectively, Communication Services).

20. You agree to use the Communication Services only to post, send, and receive messages and material that is in accordance with these Terms. Zeagold reserves the right to terminate or suspend your access to any or all of the Communication Services at any time, without notice, for any reason or for no reason.

21. Zeagold is not responsible for the communications of users via the Communications Services and that such communications are not reviewed, screened or approved by Zeagold.

22. Zeagold reserves the right to remove any material from the Communication Services at any time, without notice, for any reason or for no reason.

23. You acknowledge and agree that your communications with other users via the Communications Services are public and not private communications, and that you have no expectation of privacy concerning your use of the Communications Services.

Privacy

24. Zeagold may collect certain personal information in order to operate the Kids Club and the Website. Zeagold respects the privacy of its users and at all times complies with its obligations under the Privacy Act 1993.

25. Zeagold has adopted reasonable security measures to protect against the loss, misuse, and alteration of the personal information under our control.

26. Zeagold's collection and use of personal information is governed by our Privacy Policy. By accessing and browsing this Website or participating in the Kids Club, you acknowledge acceptance of the terms of our Privacy Policy.

27. You acknowledge that personal information that you communicate via the Kids Club or the Website may be seen and used by others and result in unsolicited communications; therefore, Zeagold strongly encourages you not to disclose any personal information about yourself in your public communications via the Communications Services.

Risk and liability

28. You understand and agree that your use of the Website and your participation in the Kids Club, is at your sole risk. The Website and the Kids Club are provided by us on an "as is" and "as available" basis. Zeagold disclaims and excludes any implied conditions or warranties (including, without limitation, any warranties of merchantability, quality and fitness for a particular purpose).

29. Without limiting the above, Zeagold does not warrant that the Website or the Kids Club will be available at all times, secure or error-free, or that any Content is error-free or reliable.

30. In no event will Zeagold, or its employees, agents, directors and other personnel (Zeagold Affiliates), have any liability to you (whether in contract, tort including negligence, or otherwise) in relation to your use of the Website or your participation in the Kids Club, whether or not such liability is direct, indirect, consequential or of a special nature, including without limitation, any liability for loss of revenue, profit, anticipated savings, goodwill or opportunity, production or loss or corruption of data.

31. You agree to at all times indemnify the Zeagold Affiliates against any and all liability, claims, losses, damages, costs or other expenses of any nature whatsoever awarded against, incurred or suffered by any of the Zeagold Affiliates arising out of or in connection with any breach by you of these Terms.

32. None of the exclusions or limitations set out in these Terms will have the effect of limiting or excluding any form of liability to the extent such liability cannot be so limited or excluded under applicable law.

Changes to these Terms, and additional terms

33. Zeagold may amend these Terms from time to time without notifying you. The current and binding Terms will be the ones displayed on the Website at the time you access or use the Website.

34. If you do not accept any modification to these Terms, you may terminate your access and use of the Website and your participation in the Kids Club. Your continued participation in the Kids Club after a change or update has been made to these Terms constitutes your acceptance of the changed or updated Terms.

General terms

35. Zeagold reserves the right, without any limitation whatsoever, to discontinue or alter the Kids Club and/or the Website or terminate or suspend your access to the Kids Club or the Website at any time, without notice, for any reason and without any obligation to you whatsoever.

36. Notices to you may be made via posting to the Website, by email, or by regular mail, in Zeagold's sole discretion. Zeagold may also provide notices of changes to these Terms or other matters by displaying such notices or by providing links to such notices.

37. If any part of these Terms are determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms shall continue in effect.

38. These Terms, and any disputes arising from or relating to the conduct covered by the Terms, are governed by the laws of New Zealand. You hereby submit to the exclusive jurisdiction of the courts of New Zealand.

1. Zeagold Foods, a division of Mainland Poultry Limited (Zeagold, we, us, our) is committed to protecting your personal information.
